Terms of Use

These Terms of Use ("Terms") govern access to and use of agentomy.com and its subdomains, our documentation, benchmarks, downloadable and open-source software, and any other content or feature we make publicly available (the "Site"). They apply to every visitor, including those who never create an account, never subscribe, and never pay us anything.

If you hold an account or a commercial agreement with us, our Terms of Service also apply and control over these Terms to the extent of any conflict. Our Privacy Policy explains how we handle personal information.

Section 12 requires that disputes be resolved by litigation in a specified court and includes a waiver of jury trial and of class actions. Sections 9 and 10 limit our liability. Read them.

1. Who we are

The Site is operated by Agentomy, LLC, a Wyoming limited liability company ("Agentomy," "we," "us," "our"). Contact: governance@agentomy.com.

2. Acceptance

By accessing or using the Site you agree to these Terms. If you do not agree, do not access or use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

3. Eligibility

You must be at least 18 years old and legally able to form a binding contract. You may not use the Site if you are barred from doing so under the laws of the United States or any other applicable jurisdiction, or if you are subject to applicable sanctions or export restrictions.

4. What we make available, and on what terms

Different materials on the Site carry different licenses. The license attached to a given artifact controls your use of that artifact.

  • Open-source software: published under the license contained in its repository or package. Those license terms govern your use, modification and redistribution of that software, and nothing in these Terms restricts a right granted to you by an applicable open-source license.
  • Benchmarks and their published scenarios: available under the license stated in the corresponding repository, so that results can be reproduced independently.
  • The commercial platform: proprietary. Access requires a separate agreement. Nothing on the Site grants you a license to it.
  • Site content: text, design, graphics, and documentation on the Site are owned by us or our licensors and are provided for your internal reference. You may quote and link to them with attribution. You may not republish them wholesale or present them as your own.

5. Trademarks

The Agentomy name, logo, and brand assets are our trademarks. These Terms grant no right to use them, except for nominative fair use to refer accurately to us or our products. You may not use them in a way that suggests endorsement, certification, partnership, or affiliation that does not exist, and you may not represent that a product is "governed by," "certified by," or "validated by" Agentomy unless we have agreed in writing.

6. Acceptable use

You agree not to:

  • Probe, scan, penetration test, fuzz, stress test, or attempt to circumvent the security or access controls of the Site or any Agentomy-operated system, except under a written authorization from us. Testing of our hosted systems is governed by Section 6 of our Terms of Service, and is not permitted merely because our products relate to security.
  • Access or use any non-public area of the Site, or another user's account, or any credential you were not issued.
  • Interfere with or disrupt the Site, including through denial-of-service activity, excessive automated requests, or deliberate resource exhaustion.
  • Scrape, crawl, or harvest the Site at a rate or volume that burdens it, or in violation of our robots directives, or to build a competing dataset or model without our written permission.
  • Misrepresent your identity or affiliation, or impersonate any person or entity.
  • Use the Site to violate law, infringe intellectual property or privacy rights, or transmit malware or unlawful content.
  • Remove, obscure, or alter any proprietary notice.

7. Benchmarks, scores and published research

Our benchmarks measure specific, documented behaviors under a published methodology. A score describes performance against those scenarios and nothing more. It is not a security certification, not an audit, not an assurance of fitness for any purpose, and not a substitute for your own evaluation and professional security review. Results depend on configuration, version and environment, and may differ from yours.

Research, incident analysis, and comparative material on the Site is provided for information. Where we cite third-party incidents or reports, we describe published sources and do not assert facts beyond them.

8. Third-party content and links

The Site links to third-party sites, repositories, registries and packages that we do not control. We are not responsible for their content, availability, security or practices, and a link is not an endorsement.

9. Disclaimer of warranties

THE SITE AND ALL CONTENT AND SOFTWARE MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTOMY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). YOU ACKNOWLEDGE THAT WE PROVIDE THE SITE FREE OF CHARGE TO UNREGISTERED USERS AND THAT THIS ALLOCATION OF RISK IS AN ESSENTIAL BASIS OF THE BARGAIN.

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.

11. Indemnification

You will indemnify, defend and hold harmless Agentomy and its members, managers, officers, employees, contractors and agents from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

12. Governing law, venue, and dispute resolution

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Litigation, not arbitration. Disputes will be resolved exclusively by litigation in the state or federal courts located in Sheridan County, Wyoming. You and Agentomy each consent to the personal jurisdiction of those courts and waive any objection to venue or forum non conveniens. There is no agreement to arbitrate.

Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND AGENTOMY EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.

Class action waiver. TO THE EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Changes to the Site and to these Terms

We may modify, suspend or discontinue any part of the Site at any time. We may update these Terms; when we do, we will revise the date above, and material changes will be identified as such. Continued use after an update constitutes acceptance.

14. General

These Terms, together with any documents they incorporate, are the entire agreement between you and us regarding the Site. If a provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Sections 4 through 12 and 14 survive termination.
